Deborah Law Interiors Interior Design Services

Our contract with you is for design, provision of certain goods, supervision of installation of our designs.

  1. Application

These Terms & Conditions shall apply to services provided by Deborah Law Interiors to a Client as a consumer.

2. The Service and Price

2.1 Deborah Law Interiors will, in consideration of moneys agreed to be paid provide the services identified in the estimate or otherwise agreed in writing or by electronic means.

2.2 In addition, the Client will pay for any additional services provided, but not specified in the estimate as may be agreed separately.

3. Payment

3.1 All payments shall be due as set out.

3.2 If the Client fails to pay any moneys by the due date interest on any overdue amount from the date on which payment was due to the date of actual payment and whether before or after judgment on a daily basis at the interest rate calculated and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Variation and amendments

4.1 If the Client wishes to vary any details this must be notified to Deborah Law Interiors as soon as possible.  Deborah Law Interiors shall try to make any required changes and any additional costs thereby incurred shall be invoiced to the Client for payment on presentation of the invoice.

4.2 If, due to circumstances beyond Deborah Law Interior’s control, changes have to be made for the provision of the Services it shall notify the Client forthwith and keep such changes to a minimum and to offer arrangements as close to the original as is reasonably possible.

5. Termination

5.1 Deborah Law Interiors may terminate the agreement forthwith if:

5.1.1 the client is in breach of any of its obligations herder; or

5.1.2 the client has become bankrupt or shall be deemed unable to pay debts; or

5.1.3 any circumstances whatsoever beyond the reasonable control of Deborah Law Interiors arise that necessities the termination of its provision of services.

5.2 In the event of termination Deborah Law Interiors may retain any sums already paid without prejudice to any other rights it may have whether at law and shall not affect any right of action already accrued.

6. Liability

6.1 Except in respect of death or personal injury caused by Deborah Law Interiors’s negligence, it will not be liable for any indirect, special or consequential loss, damage costs, expenses or other claims (whether caused by its servants or agents or otherwise) in connection with the performance of this contract or with the use by the Client of Services.

6.2 The Client shall indemnify Deborah Law Interiors against all damages, costs, claims and expenses arising from loss or damage to any equipment (including that of third parties) caused by the Client, or any of its agents, contractors or employees.

6.3 Where the Client consists of two or more persons such expression throughout shall mean and include such two or more persons and each or any of them.  All obligations on the part of such a Client shall be joint and several obligations of such persons.

6.4 If it is deemed appropriate for certain trade professionals and/or suppliers providing goods or complete dint services for you, to contract directly with yourself; we must inform you that we are not therefore legally responsible for the quality of workmanship, or of any such guarantees or warranties they provide.  (We of course work closely with all professionals to ensure a totally satisfactory project and this is always the case.)

7. Force Majeure

Neither Party shall be liable to the other or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of its obligations in relation to the Services, if the delay or failure was due to any cause beyond that party’s reasonable control.

8. Waiver

8.1 No waiver by Deborah Law Interiors of any breach of these terms and conditions shall be considered as a waiver of any subsequent breach of the same or any other provision.

8.2 No failure or delay by Deborah Law Interiors in exercising any right, power or privilege under this agreement shall operate as a waiver

9. Severance

If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of this Contract shall not be affected thereby.

10. Intellectual Property Rights

Deborah Law Interiors reserves all copyright and any other rights, which may subsist in connection with the provision of the services.

11. Notices and Service

11.1 Any notice other information required or authorised by this Contract to be given by either party to the other shall be given by sending via pre-paid recorded delivery, post, email or other comparable means of communication.

11.2 Service of any document for the purposes of any legal proceedings concerning or arising out of this Agreement shall be effected by either party by causing such document to be delivered to the other party at its registered principal office, or to such other address as may be notified to one party by the other party in writing from time to time.

12. Applicable Law and Jurisdiction

These terms and conditions shall be governed and construed with English and Welsh law and the parties shall submit to the non-exclusive jurisdiction of the English and Welsh courts.
